1. Introduction

Welcome to Monocorp Software ("Monocorp", "we", "our", or "us"). These Terms and Conditions govern your access to and use of all software applications, cloud services, and technology solutions developed or published by Monocorp Software, including products distributed through Microsoft AppSource, Microsoft Dynamics 365, Microsoft Power Platform, Microsoft Azure, and related ecosystems.

By downloading, installing, subscribing to, accessing, or using any Monocorp Software product or service, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms and Conditions. If you do not agree with these Terms, you should discontinue use of the product or service immediately.


2. Scope of Application

These Terms apply to all software products, web applications, mobile applications, APIs, integrations, managed services, consulting services, and cloud-hosted solutions provided by Monocorp Software. This includes future updates, upgrades, enhancements, patches, extensions, and additional modules unless otherwise specified in a separate written agreement.

These Terms apply whether the software is accessed through Microsoft AppSource, directly from Monocorp Software, or through an authorized partner or reseller.


3. License to Use

Subject to compliance with these Terms and any applicable licensing requirements, Monocorp Software grants you a limited, non-exclusive, non-transferable, and revocable license to use the software solely for your internal business purposes.

This license does not transfer ownership of the software or any intellectual property rights. Except as expressly permitted by these Terms or applicable law, you may not copy, modify, distribute, sublicense, lease, reverse engineer, decompile, or create derivative works based on the software.


4. Eligibility and Authority

By using our products or services, you represent and warrant that you have the legal capacity and authority to enter into this agreement on behalf of yourself or the organization you represent. You further confirm that all information provided during registration or subscription is accurate, complete, and current.

If you are using the software on behalf of an organization, that organization accepts responsibility for ensuring that all authorized users comply with these Terms.


5. Subscription and Licensing Requirements

Certain Monocorp Software products may require an active subscription, Microsoft license, or third-party platform entitlement before they can be used. Customers are solely responsible for obtaining and maintaining all necessary licenses required for the operation of the software.

Failure to maintain valid licensing or subscription status may result in restricted functionality, suspension of access, or termination of services without liability to Monocorp Software.


6. Acceptable Use

The software is intended to support legitimate business activities and must be used in accordance with all applicable laws and regulations. Users agree to use the software responsibly and only for authorized business purposes.

You must not use the software to engage in unlawful activities, distribute malicious code, compromise system security, interfere with other users, or violate the rights of third parties. Any attempt to gain unauthorized access to systems, data, or infrastructure associated with Monocorp Software or its partners is strictly prohibited.


7. Customer Responsibilities

Customers are responsible for maintaining the confidentiality of user credentials and ensuring that only authorized personnel access the software. Customers are also responsible for configuring appropriate user permissions, safeguarding business data, maintaining backups where necessary, and ensuring that information entered into the software is lawful and accurate.

Any activity performed using customer accounts is deemed to have been authorized by the customer unless otherwise demonstrated.


8. Customer Data

All data entered into or generated through Monocorp Software applications remains the exclusive property of the customer or the party that lawfully owns such data. Monocorp Software does not claim ownership of customer data and will only process or access such data to provide contracted services, technical support, maintenance, troubleshooting, security monitoring, or as otherwise required by law.

Customers are solely responsible for ensuring that they have appropriate legal rights and permissions to collect, store, process, and share any data entered into the software.


9. Privacy and Personal Information

The collection and processing of personal information by Monocorp Software are governed by our Privacy Policy, which forms an integral part of these Terms and Conditions. By using our products and services, you consent to the collection, processing, storage, and use of information as described in the Privacy Policy.

We encourage all users to review the Privacy Policy periodically to stay informed about our privacy practices.


10. Third-Party Platforms and Integrations

Our products may integrate with third-party platforms and services, including but not limited to Microsoft Azure, Microsoft Dynamics 365, Microsoft Power Platform, Microsoft Dataverse, Microsoft Entra ID, Microsoft 365, and other approved technologies.

Monocorp Software does not control or guarantee the availability, functionality, or performance of third-party services. Your use of such services is governed by their respective terms and privacy policies, and Monocorp Software shall not be liable for any issues arising from those third-party platforms.


11. Software Updates and Enhancements

Monocorp Software continuously improves its products through updates, patches, feature enhancements, security fixes, and performance improvements. We reserve the right to modify or enhance the software at any time to improve reliability, functionality, or compatibility.

Some updates may be mandatory to maintain security or compatibility with supported platforms. Continued use of the software after updates constitutes acceptance of those changes.


12. Availability of Services

While we strive to provide reliable and uninterrupted services, Monocorp Software does not guarantee that the software will always be available or operate without interruption or error. Planned maintenance, platform upgrades, internet connectivity issues, cloud provider outages, or unforeseen technical events may temporarily affect availability.

We will make commercially reasonable efforts to minimize service disruptions whenever practical.


13. Intellectual Property Rights

All intellectual property rights associated with the software, including source code, object code, algorithms, documentation, user interfaces, workflows, trademarks, logos, product names, graphics, and related materials, remain the exclusive property of Monocorp Software or its licensors.

Nothing contained in these Terms shall be construed as granting any ownership interest or intellectual property rights to customers beyond the limited license expressly granted herein.


14. Confidentiality

Both parties agree to protect confidential information disclosed during the course of the business relationship. Confidential information includes technical information, business strategies, customer information, pricing, software architecture, proprietary methodologies, and any non-public information designated as confidential.

Neither party shall disclose confidential information to third parties except where required by law or with prior written consent from the disclosing party.


15. Fees and Payment

Where applicable, subscription fees, implementation charges, consulting fees, and support fees shall be payable in accordance with the applicable order, subscription agreement, or purchase contract.

Failure to make timely payments may result in suspension or termination of access to the software. Taxes, duties, and governmental charges remain the responsibility of the customer unless otherwise agreed in writing.


16. Support Services

Technical support is provided in accordance with the customer's purchased support plan or service agreement. Standard support includes reasonable assistance for software issues, troubleshooting, and defect resolution.

Custom development, product enhancements, consulting services, or customer-specific modifications may require separate commercial agreements and may be billed independently.


17. Security Measures

Monocorp Software implements commercially reasonable administrative, organizational, and technical safeguards to protect customer information and maintain platform security. Such measures may include encryption, authentication controls, role-based access management, audit logging, infrastructure monitoring, and secure cloud hosting practices.

However, no technology system or communication network can be guaranteed to be completely secure, and customers acknowledge the inherent risks associated with internet-based services.


18. Disclaimer of Warranties

Except to the extent prohibited by applicable law, the software and all related services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied.

Monocorp Software expressly disclaims any implied warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, or error-free operation.

Customers assume full responsibility for evaluating whether the software meets their business requirements.


19. Limitation of Liability

To the fullest extent permitted by applicable law, Monocorp Software shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to loss of profits, loss of revenue, business interruption, data loss, goodwill, or anticipated savings arising from the use or inability to use the software.

In any event, Monocorp Software's total cumulative liability arising from or relating to these Terms shall not exceed the total subscription or license fees actually paid by the customer for the affected software during the twelve (12) months immediately preceding the event giving rise to the claim.


20. Indemnification

The customer agrees to indemnify, defend, and hold harmless Monocorp Software, its affiliates, directors, officers, employees, and partners from and against any claims, damages, liabilities, losses, or expenses arising out of misuse of the software, violation of these Terms, infringement resulting from customer-provided data, or failure to comply with applicable laws and regulations.


21. Suspension and Termination

Monocorp Software reserves the right to suspend or terminate access to the software where a customer violates these Terms, fails to pay applicable fees, compromises system security, engages in fraudulent activity, or otherwise poses a material risk to the software or other users.

Termination of access does not relieve the customer of any outstanding payment obligations or liabilities accrued before termination.


22. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including natural disasters, war, acts of government, labor disputes, cyberattacks, internet failures, cloud service outages, or other force majeure events.

Affected obligations shall be suspended only for the duration of such events.


23. Changes to These Terms

Monocorp Software reserves the right to modify these Terms and Conditions at any time. Updated versions will be published on our official website or otherwise communicated to customers through appropriate channels.

Continued use of the software after such changes become effective constitutes acceptance of the revised Terms.


24. Governing Law

These Terms shall be governed by and construed in accordance with the laws applicable to the contractual relationship between Monocorp Software and the customer, without regard to conflict of law principles. Any disputes shall be resolved in the courts or tribunals having appropriate jurisdiction as determined by the applicable agreement between the parties.
